Terms of Service
These Terms of Service ("Terms") govern your access to and use of TalkSocal, operated by MILIAO INFORMATION TECHNOLOGY CO., LTD. ("we", "us", or "our"), trading as TalkSocal. Company Registration No. 16998094, registered in England and Wales. Registered office: Unit 7, Wilson Business Park, Manchester, UK, M40 8WN.
By creating an account or using any part of the Platform, you agree to these Terms.
1. About TalkSocal
TalkSocal is a C2C wishlist gift marketplace. Members (Sellers) create wishlists and list items for Supporters (Buyers) to purchase. MILIAO INFORMATION TECHNOLOGY CO., LTD., trading as TalkSocal, acts as marketplace intermediary and payment facilitator — it is not a direct party to the transaction between Members and Supporters.
2. Eligibility
You must be at least 18 years old, have legal capacity to enter binding contracts in your jurisdiction, and provide accurate registration information. You are responsible for ensuring your use of the Platform complies with the laws of your country of residence.
3. Account obligations
You are responsible for:
- Providing accurate, current, and complete account information
- Maintaining the security of your login credentials
- All activity conducted under your account
Notify us immediately at support@talksocal.com if you become aware of any unauthorised use. Multiple or automated accounts are prohibited. Accounts are personal and non-transferable.
4. Platform role — marketplace intermediary
TalkSocal's role is limited to:
- Providing platform infrastructure for Listings, discovery, and transactions
- Collecting and processing payments via regulated payment partners
- Deducting the Platform Service Fee and disbursing Payouts to Members
- Administering disputes, refunds, and trust and safety functions
Members are independently responsible for the accuracy of their Listings, fulfilment of orders, compliance with applicable consumer protection laws, and any tax obligations arising from their sales activity.
5. Orders and checkout
Supporters complete purchases on hosted checkout pages operated by our licensed payment partners. TalkSocal records each order against the selected wishlist item and updates account records accordingly. Members are responsible for purchasing and fulfilling stated wish items. TalkSocal does not warehouse products or guarantee delivery to Supporters.
6. Platform Service Fee and payouts
TalkSocal charges a Platform Service Fee on each completed Transaction:
- Disclosed to Members in their Dashboard and at the point of listing
- Deducted automatically from the gross Transaction amount before Payout
- Subject to change with reasonable advance notice to Members

7. Member obligations
Members agree to:
- Ensure all Listing descriptions, images, and information are accurate and not misleading
- List only items they are entitled to sell or fulfil
- Fulfil confirmed orders promptly and as described
- Comply with all applicable laws including consumer protection and product safety regulations
- Not list prohibited items as defined in our Platform standards
TalkSocal reserves the right to remove any Listing that violates these Terms without notice.
8. Supporter obligations
Supporters agree to:
- Complete only genuine, good-faith Transactions
- Not initiate fraudulent chargebacks or misuse the refund process
- Use the Platform's official payment system exclusively for all purchases
9. Refunds and disputes
Governed by our Refund policy. Buyers may be eligible for a refund where a Transaction cannot be fulfilled or where items materially differ from their description. TalkSocal makes final decisions on disputed refund cases.
10. User conduct
You must not use the Platform to engage in fraud, deception, or illegal activity; impersonate any person or entity; harass or harm other users; upload malware or attempt unauthorised access; conduct transactions outside the Platform's official payment system; or violate any applicable law or regulation.

11. Content and intellectual property
All Platform content, trademarks, and intellectual property are owned by or licensed to MILIAO INFORMATION TECHNOLOGY CO., LTD. By submitting content, you grant TalkSocal a royalty-free licence to display and use it in connection with Platform operations. You retain ownership of your content and warrant that it does not infringe any third-party rights.
12. Taxes
Members are solely responsible for determining and paying any applicable taxes (including income tax, VAT, GST, or sales tax) arising from their sales activity. TalkSocal does not provide tax advice and does not withhold taxes on Payouts except where required by applicable law.
13. Privacy and cookies
We process personal data in accordance with our Privacy Policy and Cookie Policy, and comply with applicable data protection laws including the UK GDPR, the Data Protection Act 2018, and — where applicable — the CCPA/CPRA.
14. Disclaimers and liability
The Platform is provided "as is". TalkSocal does not guarantee the quality, accuracy, or fulfilment of any Listing. To the fullest extent permitted by law, TalkSocal is not liable for indirect, incidental, or consequential losses. Where liability cannot be excluded, it is limited to fees paid by you in the three months preceding the relevant claim. Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.
15. Indemnification
You agree to indemnify MILIAO INFORMATION TECHNOLOGY CO., LTD. and its officers, employees, and agents against claims, liabilities, and costs arising from: (a) your use of the Platform; (b) your content; (c) your Listings or transactions; or (d) your violation of these Terms.
16. Account suspension and termination
TalkSocal may suspend or terminate your account where you: violate these Terms or platform policies; engage in fraud or chargebacks; or where required by applicable law or payment partners. Outstanding Payouts to Members will be processed subject to any holds for pending disputes or policy violations. You may close your account at any time by contacting support@talksocal.com.
17. Governing law
These Terms are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to mandatory consumer protections in your country of residence.
18. Updates
We may update these Terms as the platform evolves. The "Last updated" date reflects the most recent revision. Material changes will be notified to registered users with reasonable advance notice. Continued use after the effective date constitutes acceptance.
